The classic children's story - about a wooden puppet who's nose grows when he lies - is being re-written by the 'Stardust' and 'Kick Ass' screenwriter, in an attempt by Warner Brothers to get Robert Downey Jr. on board.
Robert has been linked to star as Geppetto, the puppet's father, who goes off to find him when he runs away on a quest to become a real boy.
Tim Burton has also been in the frame to direct the movie, but neither have yet been confirmed.
Jane is said to have been given the first draft of the screenplay, written by Bryan Fuller, and Robert's own personal notes to develop her re-write.
The Pinocchio story was originally written by Italian Carlo Collodi in 1938, and is best remembered through the 1940 animated Disney film version.
If Tim and Robert to join the project, it would be Tim's first time directing the 'Iron Man' star.
Previously, Guillermo Del Toro, had been lined up to direct a stop-motion version of the 'Pinocchio' story, a project he had been working on with the Jim Henson Company since 2008, but it is unknown if this will still go ahead.
